Terms of Service

Viravance is a business service. To open an account you must be at least 18 and authorized to bind the business you represent. “You” means that business, or you if you're visiting the site.

Viravance provides an AI front desk that answers customer chats and phone calls for your business, books appointments, takes orders and sends invoices, with a dashboard that shows results. Custom websites, marketing and other services are provided under a separate written quote or agreement.

Keep your sign-in details secure. You're responsible for what happens in your account, including the team members you add and the permissions you give them. Give us accurate information and keep it up to date.

• Every new account starts with a free first month, up to the usage included in our Starter plan. Add a payment method before it ends to keep the front desk running. If you don't, there's a short grace period and then the front desk pauses. Your dashboard and data stay available so you can resume.
• Plans and prices are shown on our pricing page and include a monthly bundle of conversions and voice minutes. A conversion is a booking that was confirmed, or an invoice that was paid, through the front desk. Subscriptions are billed monthly in advance through Stripe.
• A one-time setup fee applies to each new account and is charged with your first payment, after the free month.
• Usage above your plan's bundle (overage) is billed once, after the month ends, as a separate itemised invoice at the rates shown for your plan. Overage in the month your free month ends isn't billed.
• Prices exclude taxes, which we add where required. If a payment fails we may retry it, and we may pause your account until it's resolved.
• You can cancel at any time through the billing portal. Except where the law requires otherwise, fees already paid are non-refundable and we don't prorate partial months.
• We may change prices or plans on at least 30 days' notice to your account's email. The change applies from your next billing period.

You provide the information the front desk uses: your products, services, prices, hours, policies and instructions. You're responsible for it being accurate and lawful, and for fulfilling the orders and appointments your front desk takes in your name.

You are responsible for complying with the laws that apply to your business and your customers, including:

• Telling customers they're dealing with an automated assistant where the law or good practice requires it, for example in your greeting.
• Laws about recording or transcribing calls and about texting customers, including getting any consent required.
• Giving your customers any privacy notice the law requires.
• Reviewing your front desk's conversations and settings, and correcting problems.

You agree not to use the service to:

• Break the law or infringe anyone's rights, or send spam or unlawful messages.
• Handle protected health information or other regulated health data. Viravance is not built for HIPAA-regulated use.
• Collect card numbers, passwords or government ID numbers through the front desk. Payment happens only on the processor's hosted page.
• Mislead people, impersonate others, or produce harmful, abusive or deceptive content.
• Probe, attack, overload or reverse engineer the service, or use it to build a competing product.

The front desk uses artificial intelligence. Its replies can be inaccurate, incomplete or unsuitable, even with the guardrails we build in. It does not give legal, medical, financial or other professional advice. You're responsible for how you configure it and for what you rely on it for.

Results shown on your dashboard, including sales landed, return on cost and share of sales, are measurements from your own data. They are not a promise of any outcome.

By giving a mobile number to a client's front desk and asking it to text you, you agree to receive the one-time, transactional texts described in our Privacy Policy, such as a link to enter your details, a payment link, a booking confirmation or an order status. Message frequency varies, and message and data rates may apply. Reply STOP to opt out at any time, or HELP for help, or email convert@viravance.com. Consent is not a condition of purchase. Carriers are not liable for delayed or undelivered messages.

Clients are responsible for using text messaging only for customers who have asked for it, and must not use the service to send marketing or unsolicited messages.

The service works with third-party services such as Stripe, Square, Shopify, PayPal, Cal.com, Google and Twilio. They have their own terms, and you're responsible for your relationship with them. Invoices are created on your own payment account, and payment is processed by that provider. We are not a bank or a payment processor. Integrations marked “early access” are provided as-is while we complete further live testing.

Our Privacy Policy explains how we handle information. For information about your customers, you are the business responsible for it and we process it on your behalf, only to provide the service and as you instruct. We'll sign a data processing agreement on request. Email convert@viravance.com.

We own the Viravance platform, software, name and logo. You own the content you provide. You give us a limited license to use it, and your customers' conversations, to operate and support the service for you. If you give us feedback, we may use it without obligation to you.

We work to keep the service running but don't promise it will be uninterrupted or error-free, and we don't offer an uptime guarantee unless we agree one in writing. We may change or improve the service. We may suspend an account for non-payment, a breach of these terms, abuse, or to prevent harm or legal risk.

You can stop using the service and cancel at any time. We may end your access if you breach these terms. If you want an export of your data, ask before your account is closed. Sections that by their nature should survive termination will, including ownership, disclaimers, limits of liability, indemnity and governing law.

THE SITE AND SERVICE ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT THE LAW ALLOWS.

TO THE FULLEST EXTENT THE LAW ALLOWS, VIRAVANCE LLC WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR GOODWILL, AND ITS TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM. Some places don't allow these limits, so they may not apply to you.

You'll defend and indemnify us against claims, losses and costs arising from your content, your instructions to the front desk, your use of the service in breach of these terms or the law, or disputes between you and your customers.

These terms are governed by the laws of the State of Tennessee, without regard to its conflict-of-law rules. Before starting any formal proceeding, please email convert@viravance.com so we can try to resolve the issue informally. Disputes that aren't resolved will be brought in the courts of that state.

We may update these terms. We'll post the new version here with a new date and, for material changes, tell you by email or in the dashboard. If you keep using the service after a change takes effect, you accept the new terms.

These terms, our Privacy Policy and any written quote or order form are the entire agreement between us on this subject. If a part is unenforceable, the rest still applies. Not enforcing a term isn't a waiver of it. You may not assign these terms without our consent. We may give notices by email or through the dashboard.
